Zes maanden zijn verstreken sinds de gebeurtenissen van de vorige film. Fate Testarossa is teruggekeerd naar Uminari City, samen met Lindy Harlaown, haar voogd en leeft het leven van een normaal basisschool meisje samen met Nanoha Takamachi en haar vrienden. Het weerzien tussen de twee nieuwe vrienden wordt echter abrupt onderbroken, wanneer ze worden aangevallen door vier oude magische gebruikers die zichzelf als de "Wolkenritter" identificeren. Als de motieven achter de acties van de Wolkenritter duidelijker worden, bevinden Nanoha en Fate zich in een race tegen de klok om de heractivering van een zeer gevaarlijk artefact bekend als "The Book of Darkness" te stoppen.
